16. Terms and Conditions for the Use of User-Generated Content & Social Media Competition

16.1 Application of These Terms

These terms and conditions apply to the use by Furniture Village Ltd ("Furniture Village") of customer content featuring, referencing, showing, including or otherwise relating to Furniture Village products, services, showrooms, staff, brand assets or customer experiences, including but not limited to photographs, videos, moving image content, text, captions, comments, reviews, audio, voice recordings or other materials ("Content") shared on social media platforms, messaging platforms, online forums, third party websites, review platforms or submitted directly to Furniture Village via any digital or offline method.
Furniture Village may from time to time identify, select or request permission from customers to use such Content for marketing, promotional, advertising, editorial, brand awareness or commercial purposes. Such requests may be made publicly or privately via social media reply, comment, direct message, email, website form, competition entry mechanism, written agreement or any other communication method used by Furniture Village.
Where permission is granted, these terms shall apply to the use of that Content unless otherwise expressly stated in writing by Furniture Village.
By granting permission to Furniture Village to use Content, whether via social media, hashtag use, tagging, direct message, comment, email, written agreement, affirmative reply, platform permission tool or otherwise, you agree to be bound by these terms.

16.2 Grant of Licence

Where permission is granted, you grant Furniture Village (and third parties authorised by Furniture Village including but not limited to agencies, service providers, technology providers, media partners, printers, production partners and marketing partners) a non-exclusive, worldwide, perpetual, irrevocable, royalty-free licence (for the full period of any rights in the Content and any extensions or renewals of such rights) to use, display, publish, transmit, broadcast, reproduce, copy, store, host, re-format, translate, edit, alter, adapt, enhance, crop, resize, combine with other materials, create derivative works from and sub-licence the Content for marketing, promotional, commercial and advertising purposes.
Such use may include, without limitation, use across social media platforms, websites, mobile applications, email marketing, CRM communications, paid advertising, programmatic advertising, digital display advertising, in-store digital displays, point of sale screens, printed marketing materials, catalogues, brochures, direct mail, PR activity, press activity and other digital or offline media now known or developed in the future.

16.3 Ownership of Content

You retain ownership of your Content. Nothing in these terms transfers ownership of Content to Furniture Village. Nothing in these terms restricts your ability to continue to use your Content for your own personal or commercial purposes.

16.4 Use of Identifying Information

Where included within the Content, or where reasonably required to credit or contextualise the Content, Furniture Village may use your social media handle, username, display name, first name, likeness, voice or image in connection with the use of the Content.

16.5 Permissions and Warranties

By granting permission for Furniture Village to use Content, you confirm and warrant that:
(a) you own or control all rights necessary to grant the rights set out in these terms
(b) you have obtained permission from any person appearing in the Content, including permission from a parent or guardian where required
(c) you are aged 18 years or over at the time permission is granted
(d) the Content does not infringe the intellectual property, privacy, publicity or other rights of any third party
(e) the Content does not breach any applicable law, regulation, code of practice or platform rule
(f) the Content is not defamatory, obscene, offensive, misleading, discriminatory, harmful or otherwise unlawful

16.6 Content Standards and Removal

Furniture Village reserves the right to refuse, remove, edit, restrict or stop using Content at any time where, in its opinion, the Content does not comply with these terms, does not align with brand guidelines, or is otherwise unsuitable for use.
Furniture Village shall not be obliged to use any Content and does not guarantee any level of exposure, publication or use.

16.7 No Payment

Content is provided voluntarily. No payment, royalty, credit, product, discount or other compensation shall be payable in connection with the use of Content unless otherwise expressly agreed in writing by Furniture Village.

16.8 Third Party Platforms and Services

Furniture Village may use third party platforms, software providers, technology providers, agencies and service providers to store, process, edit, publish, distribute, analyse or manage Content in connection with the uses described in these terms.

16.9 Liability

To the extent permitted by law, Furniture Village shall not be liable for any loss, damage, claim or expense arising from the use of Content where permission has been granted in accordance with these terms.
Nothing in these terms shall exclude or limit liability for death or personal injury caused by negligence or any other liability which cannot be excluded by law.

16.10 Data Protection

Any personal data relating to Content will be processed in accordance with applicable data protection legislation and Furniture Village’s Privacy Policy.

16.11 Changes to These Terms

Furniture Village reserves the right to amend these terms at any time. Updated terms will be published on the Furniture Village website and will apply from the date of publication.

16.12 Social Media Competitions

Furniture Village may operate competitions, prize draws, giveaways or promotional mechanics via its social media channels or in conjunction with third party partners ("Competitions"). Competitions may be run across any social media platform including but not limited to Instagram, Facebook, Threads, TikTok, Pinterest, X, YouTube or any other platform used by Furniture Village at the time the Competition is operated.
The specific entry requirements, instructions, entry method, closing date and any platform specific requirements will be stated within the relevant Competition social media post, linked landing page or Competition Notice.
Where a Competition requires or allows submission of photographs, videos, written content or any other user generated material as part of entry, the User Generated Content terms set out in this Section 16 shall also apply unless otherwise expressly stated in the relevant Competition Notice.
By entering a Competition, entrants agree to be bound by these terms together with any additional rules, requirements or instructions set out in the relevant Competition social media post, landing page, Competition Notice or entry form.

16.13 Eligibility

Unless otherwise stated in a Competition Notice or Competition social media post:
(a) Competitions are open to residents of the United Kingdom aged 18 years or over at the time of entry
(b) Employees of Furniture Village, its group companies, agencies, suppliers or partners directly connected with the Competition, and members of their immediate households or families, may not enter
Furniture Village reserves the right to verify eligibility and may require proof of identity, age or eligibility where reasonably necessary.

16.14 Competition Entries

Entries must be submitted in accordance with the requirements stated in the relevant Competition social media post, landing page or Competition Notice.
Furniture Village reserves the right to disqualify entries which:
(a) are incomplete, illegible, altered, reconstructed or fraudulent
(b) are generated by automated means, scripts, bots or submitted in bulk
(c) infringe intellectual property rights, privacy rights or any other rights of a third party
(d) are unlawful, offensive, harmful, misleading or otherwise unsuitable in the reasonable opinion of Furniture Village
(e) do not comply with these terms, platform rules, the Competition social media post or the relevant Competition Notice
Furniture Village reserves the right to remove or moderate entries where required to comply with platform rules, legal obligations or brand standards.

16.15 Prize Conditions

Unless otherwise stated in a Competition social media post or Competition Notice:
(a) Prizes are non-transferable and cannot be sold or exchanged.
(b) No cash alternative will be offered.
(c) Furniture Village reserves the right to substitute a prize of equal or greater value where reasonably required due to circumstances outside of its control.
(d) Where a prize consists of furniture or large items, it is the sole responsibility of the winner to ensure that the item(s) will fit into their home. This includes, but is not limited to, measuring all relevant doorways, hallways, stairways, and the final intended space. Furniture Village accepts no liability and shall not be required to provide an alternative prize or a refund if the prize cannot be delivered or situated due to access or size restrictions. Furniture Village reserves the right, at its sole discretion, to withdraw the prize and select an alternative winner in accordance with these terms.
Furniture Village accepts no responsibility for any additional costs associated with claiming or using a prize unless expressly stated.

16.16 Winner Selection and Notification

Winner selection and notification details will be set out in the relevant Competition social media post or Competition Notice.
Unless otherwise stated, winners will be contacted by private message on the social media platform on which the Competition was run, using an official Furniture Village social media account.
Furniture Village will never request payment details or ask winners to make any payment in order to claim a prize.
If a winner does not respond within the timeframe specified in the Competition social media post or Competition Notice, Furniture Village reserves the right to select an alternative winner.
Furniture Village’s decision in relation to Competitions shall be final and no correspondence will be entered into.

16.17 Publicity

Competition winners may be asked to participate in reasonable publicity relating to the Competition, including social media content, website content, marketing materials or PR activity, unless prohibited by law.
Where winners agree to participate in publicity, they grant Furniture Village the right to use their name, social handle, likeness, image or submitted Content in connection with such publicity.

16.18 Competition Changes

Furniture Village reserves the right to withdraw, suspend, amend or extend a Competition where reasonably necessary due to circumstances outside of its control, to ensure the proper operation of the Competition, to comply with legal or regulatory requirements or to address technical or platform-related issues.
